Welcome to Dongguan Caiyayu Network Technology Co., Ltd. These Terms govern your access to and use of www.caiyayu.shop (the "Site") and our services. By accessing or using our Site or Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By using our Site or Services, you confirm you are at least 18 years of age and have legal capacity. If using on behalf of an organization, you represent you have authority to bind it. If you do not agree, you must immediately cease use.

2. Services Description

We provide computer systems design and integration services. Specific scope, deliverables, timelines, and fees will be detailed in a separate Service Agreement, which shall prevail over these Terms in case of conflict.

3. Intellectual Property

3.1 Site Content

All content on our Site is our exclusive property, protected by applicable laws. You may not reproduce or distribute it without our written consent.

3.2 Deliverables

Upon full payment, we assign to you all rights in custom deliverables. We retain a license to use generalized methodologies and tools.

4. User Obligations

• Use the Site and Services only for lawful purposes.
• Do not attempt unauthorized access to our systems.
• Do not upload malicious code or interfere with our Services.
• Do not use automated means to access our Site without permission.
• Do not impersonate others or collect user data without consent.

5. Client Responsibilities

• Provide accurate information and timely cooperation.
• Make payments per the agreed fee schedule.
• Maintain confidentiality of proprietary information.
• Ensure compliance with applicable laws.

6. Fees and Payment

Fees are as set in the Service Agreement. All fees are non-refundable unless expressly provided. Payment is net 30 days from invoice. We may suspend Services for non-payment after 15 days past due.

7. Confidentiality

Both parties maintain confidentiality of proprietary information. The receiving party uses it only for the intended purpose, protects it with reasonable care, and limits access to those with a need-to-know. These obligations survive termination for five years.

8. Limitation of Liability

8.1 Disclaimer

SITE AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

8.2 Liability Cap

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES.

8.3 Exceptions

Nothing excludes liability for death, personal injury, fraud, or willful misconduct.

9. Indemnification

You agree to indemnify us from claims arising from your violation of these Terms or applicable law.

10. Termination

Either party may terminate on 30 days' notice of uncured material breach. We may immediately suspend access for violations or illegal activity.

11. Governing Law

These Terms are governed by the laws of the People's Republic of China. Disputes shall first be resolved through negotiation, then by binding arbitration under CIETAC rules in Dongguan, Guangdong.

12. Force Majeure

Neither party is liable for failure to perform due to circumstances beyond reasonable control.

13. General

These Terms constitute the entire agreement. We may modify them; continued use after changes constitutes acceptance. If any provision is invalid, the rest remain in effect.
